TERMS AND CONDITIONS

The following terms and conditions (referred to as both the "Terms and Conditions" and the "Agreement") apply to the beautysales.com website and all other sites, mobile sites, services, applications, platforms and tools where these Terms and Conditions appear or are linked (collectively, the "Site"). BeautySales provides its services to you (the "Customer") subject to this Agreement. By using the Site, you agree to these Terms and Conditions. If you do not accept this Agreement, you may not use the Site.

This Agreement governs your use of the Site. It does not govern any separate written supply, distribution or credit agreement you may have with us, which continues to apply on its own terms.

A. WHO WE ARE

As used in this Agreement and on the Site, "beautysales.com", "BeautySales", "the Site", "we", "us" and "our" refer to BeautySales, LP, with headquarters at 18341 Sherman Way, Unit #108, Los Angeles, CA 91335.

B. CHANGES TO THIS AGREEMENT

BeautySales reserves the right, at any time, to modify or update the terms of this Agreement, upon notice to the Customer in writing to the last address supplied by the Customer, by email, by posting on the Site, or by any other reasonable means of communication. BeautySales also reserves the right, at any time, to modify or update its Privacy Policy by the same procedures. The Customer confirms acceptance of the modifications or updates by continuing to use the Site.

C. AGE REQUIREMENT

The Site is intended for use by individuals 18 years of age or older.

D. YOUR ACCOUNT

You are required to register with BeautySales in order to see wholesale prices and to order. With respect to any such registration, we may refuse to grant the user name you request.

BeautySales sells to licensed beauty professionals and qualifying businesses only. You agree that the business, licensing and tax information you give us is accurate and current, and that you will tell us if it changes. We verify this information before approving an account, and we may decline or close an account we cannot verify.

Your user name and password are for your personal use only. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account. In addition to all other rights available to it, BeautySales reserves the right, in its sole discretion, to terminate your account, refuse service to you, or cancel orders.

E. LICENSE AND ACCESS

BeautySales grants you a limited license to access and use the Site for the purpose of purchasing products for your business, and only to the extent such use does not violate this Agreement.

This license does not include: any resale or commercial exploitation of the Site itself or its content; any collection or use of product listings, descriptions or prices other than for your own purchasing decisions; any derivative use of the Site; any downloading or copying of the Site for the benefit of any third party; or any use of data mining, robots, scrapers or similar data gathering and extraction tools.

All rights not expressly granted to you in this Agreement are reserved and retained by BeautySales and its content providers. The Site may not be reproduced, duplicated, copied, sold, resold or otherwise exploited for any commercial purpose without the express written consent of BeautySales. You may not frame or use framing techniques to enclose any trademark, logo or other proprietary information of BeautySales without express written consent. You may not use any meta tags or other hidden text using the BeautySales name or trademarks without express written consent. You may use the Site only as permitted by law. The licenses granted by BeautySales terminate if you do not comply with this Agreement.

F. PURPOSE OF SALES

BeautySales is a wholesale distributor that sells to licensed beauty professionals and professional businesses. Products are sold for the following purposes only:

- Professional products are sold for the personal and professional use of beauty professionals in performing services on their clients, and are not intended for resale.

- All other products are sold to beauty professionals for retail resale to their own clients through in-person, brick-and-mortar transactions.

Products purchased from BeautySales may not be resold through any online or e-commerce channel, including without limitation third-party online marketplaces, websites, mobile applications or social-media storefronts. BeautySales reserves the right to limit or refuse quantities and to limit sales to normal wholesale purchase levels.

G. COPYRIGHT

All Site content, design, text, graphics, images, logos, buttons, icons, interfaces, audio and video clips, and the selection and arrangement thereof are the exclusive property of BeautySales or its respective content providers, and are protected by U.S. and international copyright laws. All software used on the Site is the property of BeautySales or its software suppliers and is protected by U.S. and international copyright laws and treaties. The compilation of all content on the Site is the exclusive property of BeautySales.

H. TRADEMARKS

Graphics, logos, page headers, button icons, scripts and service names included in or made available through the Site are trademarks or trade dress of BeautySales or its licensors. BeautySales trademarks and trade dress may not be used in connection with any product or service that is not ours, in any manner likely to cause confusion among customers, or in any manner that disparages or discredits BeautySales. All other trademarks appearing on the Site are the property of their respective owners, who may or may not be affiliated with BeautySales.

I. PRIVACY POLICY

BeautySales handles customer information according to our Privacy Policy, available at beautysales.com/policies/privacy-policy. The Privacy Policy, as amended from time to time, is incorporated by reference and forms part of this Agreement.

J. COLORS, SATISFACTION AND RETURNS

BeautySales has made every reasonable effort to display the colors of products on the Site as accurately as possible. However, the actual colors you see depend on factors including your monitor and its settings, and BeautySales does not guarantee that the display of any color will be accurate.

If for any reason you are not satisfied with a product you purchased from the Site, you may return it in accordance with our Return and Refund Policy, available at beautysales.com/policies/refund-policy. All returns require authorization before they are sent. Any refunds or credits due are provided in accordance with that policy.

K. DISCLAIMER - BEAUTY PRODUCTS

BeautySales sells products from many of the finest cosmetic and fragrance producers in the world. The use and selection of cosmetics, fragrances and other health and beauty products ("Beauty Products") requires care, to be certain that directions and warnings from the manufacturer are observed and followed, and that the Customer is aware that some people may have allergic or other reactions to such products.

BeautySales will endeavor to provide product labeling information; however, BeautySales is not the manufacturer of all of the Beauty Products it sells. Customers are advised to read and strictly follow the label, all packaging inserts and instructions, and all manufacturer directions and warnings.

In providing information or advice on the Site with respect to Beauty Products, whether in product descriptions or otherwise, BeautySales may rely upon advice from third-party manufacturers and from licensed beauty professionals. As to any product of which BeautySales is not the manufacturer, BeautySales will, upon request, endeavor to identify the manufacturer and provide the Customer with contact information for that manufacturer.

L. GENERAL DISCLAIMER - ALL PRODUCTS

BeautySales does not represent or warrant that the information accessible through the Site is accurate, complete or current, or that any advice or any particular product will achieve any result of any kind. Price and availability information on the Site is subject to change without notice. BeautySales shall not be bound by any errors or omissions in posting product information or prices.

All materials and information presented on the Site are intended for informational purposes only. The products promoted on the Site, including cosmetic products, are not intended for use in the diagnosis, cure, mitigation, treatment or prevention of disease, and are not intended to affect the structure or any function of the human body. Results reported, if any, may not necessarily occur in all individuals. Please consult your own physician or health care practitioner regarding any suggestions or recommendations made on the Site.

In providing product information to its customers, BeautySales relies in part on product descriptions furnished by manufacturers, wholesalers and other third parties. If you believe any information is not accurate, please contact us.

BeautySales cannot and does not represent or warrant that the Site or its server will be error-free, uninterrupted, free from unauthorized access, or otherwise meet your requirements.

THE SITE AND ALL INFORMATION, CONTENT, WRITTEN MATERIALS AND SERVICES MADE AVAILABLE TO YOU THROUGH THE SITE (COLLECTIVELY, THE "SITE CONTENTS") ARE PROVIDED BY BEAUTYSALES ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, INCLUDING ANY EXPRESS WARRANTIES, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, ANY WARRANTIES AS TO THE COMPLETENESS OF THE SITE CONTENTS, OR ANY WARRANTY THAT EMAILS SENT FROM BEAUTYSALES ARE FREE OF MALWARE OR OTHER HARMFUL COMPONENTS. THESE DISCLAIMERS APPLY ONLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND SHALL IN NO EVENT BE CONSTRUED TO BE BROADER THAN APPLICABLE LAW PERMITS. NOTHING IN THIS AGREEMENT EXCLUDES ANY WARRANTY OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.

M. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEAUTYSALES, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR ANY PRODUCTS PURCHASED THROUGH IT, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER THEORY, AND WHETHER OR NOT BEAUTYSALES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF BEAUTYSALES ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SITE, OR ANY PRODUCT PURCHASED THROUGH THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO BEAUTYSALES FOR THE PRODUCTS GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

NOTHING IN THIS SECTION LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

N. INDEMNIFICATION

You agree to defend, indemnify and hold harmless BeautySales, its affiliates, and their respective officers, directors, employees and agents from and against any claims, demands, actions, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Site; your breach of this Agreement; your violation of any law or the rights of any third party; any content you submit to the Site; your resale or distribution of products purchased from BeautySales; or any inaccurate business, licensing or tax information you provide to us.

BeautySales reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claim.

O. ORDER ACCEPTANCE, SHIPPING TERMS AND REFUNDS

The receipt of an email order confirmation does not constitute acceptance of an order or confirmation of an offer to sell. Such receipt also does not confirm that the product is in stock or otherwise available at the price and terms published on the Site or in any catalog or advertisement.

BeautySales reserves the right, without prior notification, to limit the order quantity on any item and to refuse service to any Customer for any reason, including limitations on quantities available for purchase, inaccuracies or errors in product or pricing information, or activity identified as potential fraud. These restrictions may apply to orders placed by the same account, the same payment card, or the same billing or shipping address. BeautySales also reserves the right, in its sole discretion, to prohibit or limit sales to dealers or resellers. For purposes of this Agreement, reselling means purchasing or intending to purchase any item from BeautySales for the purpose of a commercial sale of that same item to a third party, other than as permitted in Section F.

We cannot confirm the price of an item until you order. Despite our best efforts, a small number of items may be mispriced. If the correct price of an item is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order. If your order is canceled after your payment method has been charged, we will issue a credit in the amount of the charge.

Verification of order and customer information may be required before acceptance of any order. BeautySales is not obligated to fulfill any order and may refuse any order. Alternatively, BeautySales may accept the order and notify the Customer of an estimated time for shipment, in which case the order remains open until delivery. Charges to the Customer's payment method are processed for collection when a shipment has been made.

Shipping and handling charges may reflect estimated or average amounts required to cover the cost of shipping and handling, and need not reflect the exact cost of a specific order. Current shipping rates, delivery estimates and service options are set out in our Shipping Policy at beautysales.com/policies/shipping-policy.

In the event of an authorized return, BeautySales is not obligated to refund shipping and handling charges except where the return is the result of our error or a defective product, and BeautySales may refund any amount owing by crediting the payment method used or mailing a check to the address on the related order.

P. RISK OF LOSS

The risk of loss for, and title to, products purchased on the Site passes to the purchaser upon delivery to the carrier.

Q. ONLINE CONDUCT

Any conduct that, in the sole discretion of BeautySales, restricts or inhibits any other person from using or enjoying the Site is prohibited. The Customer agrees to use the Site only for lawful purposes. The Customer agrees not to post on or transmit through the Site any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, or racially or ethnically objectionable material of any kind, including any material that encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national or international law.

R. USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS

You may submit, post or otherwise make available reviews, comments, feedback, suggestions, questions, photos, videos and other content on or through the Site (collectively, "Comments"), as long as your Comments do not contain Prohibited Content. "Prohibited Content" means content that:

- is threatening, defamatory, hateful, harassing, abusive or obscene;

- violates the right of privacy or right of publicity;

- is false, deceptive or otherwise misleading;

- infringes any intellectual property right, such as a patent, copyright, trademark or trade secret;

- contains any software virus or other malware;

- includes any commercial or political solicitation;

- violates any local, state or federal law or regulation;

- impersonates another person or entity;

- includes any advertisement, pyramid scheme or other spam; or

- is otherwise objectionable, as determined by BeautySales in its sole discretion.

Although BeautySales cannot monitor all Comments, BeautySales reserves the right, but not the obligation, in its sole discretion, to remove or edit any Comment at any time and for any reason. You are solely responsible for any Comments you make available on or through the Site. BeautySales has no obligation to maintain any Comment in confidence, to pay any compensation for any Comment, or to respond to any Comment.

BeautySales does not claim ownership of any Comment. However, you grant BeautySales a royalty-free, perpetual, irrevocable, worldwide, nonexclusive, fully sublicensable right to use, reproduce, create derivative works from, modify, adapt, publish, edit, translate, distribute, perform and display the Comment throughout the world in any media now known or later developed, together with the right to use the name and identification information you submit in connection with the Comment.

You represent and warrant that you own or otherwise control all rights to any Comment, that use of the Comment will not violate this Agreement, and that the Comment will not cause injury to any person or entity.

BeautySales takes no responsibility and assumes no liability for any Comment or other content posted by you or any third party.

S. COPYRIGHT COMPLAINTS AND DMCA PROCEDURE

BeautySales respects the intellectual property of others. If you believe that your work has been copied on our Site in a way that constitutes copyright infringement under United States copyright law, please submit a notification to our Copyright Agent:

Please provide the following in your notification:

- The physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest;

- A description of the copyrighted work you claim has been infringed;

- A description of where the material you claim to be infringing is located on the Site;

- Your address, telephone number and email address;

- A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

- A statement by you, made under penalty of perjury, that the information in your notification is accurate and that you are authorized to act on behalf of the copyright owner.

Upon receipt of a valid notification, our policy is to remove or disable access to the material identified in the notice, forward the written notification to the alleged infringer, and take reasonable efforts to notify the alleged infringer that access has been removed or disabled.

If a notice of copyright infringement has been filed against you, you may file a counter notification with our Copyright Agent at the address above. To be effective, a counter notification must be a written communication that includes:

- Your physical or electronic signature;

- A description of the material that has been removed or disabled, and the location where it appeared before removal;

- A statement by you, under penalty of perjury, that you have a good-faith belief that the material was removed as a result of mistake or misidentification;

- Your name, address, telephone number and email address; and

- A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located, and that you will accept service of process from the person who provided notification of the alleged infringement.

If a counter notification is received, BeautySales may send a copy to the original complaining party, informing that person that the removed content may be replaced in 10 business days. Unless the copyright owner files an action seeking a court order against the alleged infringer, the removed content may be replaced, or access to it restored, in 10 to 14 business days after receipt of the counter notification, in the sole discretion of BeautySales.

It is our policy, in appropriate circumstances, to terminate the accounts of users who are repeat infringers.

T. TERMINATION OF USAGE

BeautySales may, without incurring any liability to the Customer, terminate or suspend a Customer's access to all or part of the Site, without notice, for any conduct that BeautySales, in its sole discretion, believes violates any applicable law or this Agreement, or is harmful to the interests of another user, a third party, a merchant, a sponsor, a licensor, a service provider or BeautySales.

U. OUTSIDE SITES AND LINKING

The Site may contain links to other sites owned or operated by third parties (the "Outside Sites"). BeautySales is not responsible for the availability of, or the content located on or through, any Outside Site. You should contact the administrator of an Outside Site with any concerns regarding that site or its content.

You may link to the Site provided you do so in a way that is fair and lawful, does not damage or take advantage of our reputation, and does not suggest any form of association, approval or endorsement by BeautySales where none exists. BeautySales reserves the right to withdraw linking permission without notice.

V. TEXT MESSAGES

If you provide us with a mobile number, we may send you text messages about your orders — confirming an order, telling you when it has shipped, sending tracking, and notifying you of a delay or delivery problem. These are service messages relating to a transaction you started, not marketing.

Promotional text messages about products, offers and classes are separate, and we send them only to customers who have specifically agreed to receive them. Providing your phone number so we can reach you about an order is not agreement to receive marketing texts, and declining them has no effect on your account or your pricing. Consent to receive marketing messages is not a condition of any purchase.

Reply STOP to any message to stop it, and we will send one confirmation and nothing further. Reply HELP for assistance, or contact us at service@beautysales.com or 818-994-4422. Message frequency varies. Message and data rates may apply, and your carrier is not liable for delayed or undelivered messages.

W. GOVERNING LAW AND JURISDICTION

This Agreement and any dispute arising out of or relating to it or to the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and BeautySales agree that the exclusive venue for any dispute arising out of or relating to this Agreement or the Site shall be the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

X. INFORMAL RESOLUTION FIRST

Before filing any claim, you agree to try to resolve the dispute informally by contacting us at info@beautysales.com or 818-994-4422 and giving us 30 days to respond and attempt to resolve it. Most concerns can be settled this way, and we would rather hear from you than from a court.

Y. FORCE MAJEURE

BeautySales shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, fire, flood, severe weather, epidemic, war, terrorism, civil unrest, labor disputes, carrier delays or failures, utility or telecommunications failures, cyberattacks, or governmental action.

Z. ASSIGNMENT

You may not assign or transfer this Agreement, or any rights or obligations under it, without our prior written consent. BeautySales may assign this Agreement without restriction, including in connection with a merger, acquisition, reorganization or sale of assets.

AA. SEVERABILITY

If any provision of this Agreement is found to be contrary to law, the remainder of that provision, if any, and the remaining provisions of this Agreement will remain in full force and effect.

AB. WAIVER

The waiver of any breach or default of this Agreement shall not constitute a waiver of any subsequent breach or default, and shall not act to amend or negate the rights of the waiving party.

AC. ENTIRE AGREEMENT

This Agreement, as amended from time to time, constitutes the complete and exclusive agreement between BeautySales and the Customer with respect to use of the Site. It supersedes and replaces all prior discussions, negotiations, understandings and agreements, written and oral, regarding those matters. Any additional or different terms in any purchase order or other written or oral response by the Customer are deemed rejected by BeautySales without need of further notice and are not part of this Agreement.

AD. ACCEPTANCE OF THIS AGREEMENT

Use of the Site represents acceptance by the Customer of the terms of this Agreement. Amendments or other modifications to this Agreement may be made by BeautySales sending an email to the Customer at the Customer's last known email address, or by posting them on the Site.
